Sustainable Green Ecosystem Council (SGEC) Regulations

Part 1 General Regulations
Name
1. This council is called gMidori no Junkan
Ninshou Kaigih in Japanese and gSustainable Green Ecosystem Councilh (SGEC) in
English.
Office
2. The main office of SGEC is placed in Tokyo.
Purpose
3. SGEC operates a certification system in
order to disseminate the concept of sustainable forest management (SFM) and
promote effective use of wood products coming from SFM with the aim to contribute
a cyclical society based on affluent cyclical life and natural green
environment.
Activities
4. In order to accomplish the purpose
above, SGEC conducts activities which include:
(1)
operation of SGEC forest certification system and SGEC separation and labeling
system dealing with SGEC certified forest products,
(2)
accreditation of certification bodies and registration of consultation bodies,
(3)
cooperation with overseas forest accreditation bodies,
(4)
investigation on and dissemination of SMF,
(5)
research on forest functions and forest practice techniques with respect to CO2
sequestration, etc. and dissemination of those research results,
(6)
research on usage and distribution of wood products and dissemination of those
research results,
(7)
communication and cooperation with both in and out of the member organizations
supporting SGEC, and
(8)
other businesses relevant to the SGECfs purpose.
Part 2 Executive Board
Board
Members
5. SGECfs executive board is composed of the
following position members:
(1)
President - 1person,
(2)
Vice-President - not more than 4 persons,
(3)
Executive Board Member - 10 to 15 persons, and
(4)
Auditor - 2 persons.
Furthermore, an honorary chair person and
some advisers could be installed.
Selection
of Board Members
6. Executive board members and auditors are
selected by the councilors committee defined in Part 3 of this document.
6-2. President and vice-president are
chosen by the executive board members.
6-3. An executive board member cannot be
serving as an auditor concurrently.
Assignment
of Executive Board Members
7. President represents SGEC and controls all
its businesses.
7-2. Vice-president supports president and
acts as president during his/her absence.
7-3. Executive board members comprise of the
executive board and make decisions about SGECfs business matters.7-4. Auditors conduct duties stipulated in
the Section 59 of the Japanese Civil Code.
Terms
of Executive Board Members
8. Executive board members have a two-year
term and may be selected for a second term.
8-2. The term of a substitute member is
limited to the period that the former member leaves and the term of an
additional member is limited to the period that the other current board members
are serving.

9. The president summons an executive board
meeting and serves as a chair person.
9-2. Executive board meeting is formally in
order if the majority of the councilors are present.

10. Executive board makes decisions about the issues prescribed in this
regulation and other important issues relevant to the management of SGEC

11. Chair person appoints 2 subscribers to
record the minutes of each meeting.
Part 3 Councilors Committee
Councilors
12. The council is composed of 10 to 20
councilors.
Selection of Councilors
13. In order to build a consensus among
interested parties regarding the purpose of this council, councilors should be
intellectual or academic experts representing broad interests. Upon the
recommendation of the executive board, the president appoints councilors.

14. Councilors have a two-year term and may
be selected for a second term.

15. The president summons councilors
committee.
15-2.Councilors committee chooses a chair
person by mutual election.
15-3.Councilors committee is formally in order if the majority of the councilors
are present.

Committee Decisions
16.Councilors committee discusses and
advises the president about basic issues of the councilfs operation and other
necessary issues submitted by the president.
16-2. The chair person of councilors
committee conducts harmonious deliberations by accepting the opinions of the
majority.

Part 4 Support Members
Support
Members
18. SGEC has support members that are categorized
as follows:
(1) Patronage members are individuals and groups that contribute by promoting
SGEC through financial backing.
(2) Assistant members are individuals and groups who agree to cooperate
on SGEC.
(3) Organizational members include certification bodies, consultants and
certified entities.
18-2 Support members are exclusively contributors and/or collaborators
whose opinions and actions do not represent SGEC.
Part 5 Accounting
Assets
19. Assets of SGEC consists of following
revenue items which the president manages:
(1)
membership fee, donated money and valuables,
@(2) incomes through business activities,
(3)
grants and subsidies, and
(4)
other incomes.
Expenditure
20. Expenses of SGEC are paid from the
assets.
Budget
and Account Settlement
21. SGECfs business plans and an annual
budget are proposed by the president and resolved by the executive board.21-2. SGECfs annual business report and
account settlement are prepared by the president, audited by the auditors and
resolved by the executive board.
Fiscal
Year
22. SGECfs fiscal year begins on April 1st
and ends on March 31st.
Part 6 Head Office and Auditing Committee
Secretariat
23. SGEC has a secretariat.
23-2. Organizational structure of the
secretariat is proposed by the president and resolved by the executive board.
23-3. The president appoints the secretariat
staff.

Committee
24. SGEC has an auditing committee
24-2. The auditing committee audits business operation of certification
bodies.

committee members.
Part 7 Amending Regulations and Dissolution
Amending
Regulations
25. SGEC regulations could be changed by a
two-thirds majority agreement of both the executive board and councilors
committee members.
Dissolution
26. The president decides the dissolution
and disposition of remaining assets with a three-quarters majority agreement of
both the executive board and councilors committee members.
Supplementary
provision
1. SGEC regulations are effective (June
3rd, 2003) from the approval at the inaugural meeting.
2. Contrary to the provisions in Paragraph
21, SGECfs start-up business plan will be resolved by the inaugural meeting.
3. Contrary to the provisions in Paragraph
6, executive board members are prearranged as shown in Exhibit 1. Accordingly,
contrary to the provisions in Paragraph 8, their tenures are effective until
new executive board members are selected at the first council meeting and
installed after the meeting.
4. Contrary to the provisions in Paragraph
13, councilors are prearranged as shown in Eexhibit 2. Accordingly, contrary to
the provisions in Paragraph 14, their tenures are effective until new
councilors are selected at the first council meeting and installed after the
meeting.
5. These SGEC regulations are effective from
June 30th, 2005.
